The agreement signed by VINCI Construction to fully acquire infrastructure services business FM Conway, completed on Friday 31st January 2025
The acquisition of FM Conway by VINCI Construction was first announced in October 2024, for an undisclosed amount.
FM Conway now joins the network of VINCI Construction to support the further growth of the company and bring additional firepower to its business model, with a clear focus on innovation and sustainability.
With a turnover of £580m and employing over 2,000 people, FM Conway delivers maintenance and construction services across transportation, the built environment and public realm.
The business has been a pioneer in sustainable construction through its advanced circular economy model, and in particular the use of high recycled asphalt on the local and strategic road networks.
The business has been run by the Conway family for over 60 years
FM Conway was a family business, founded in 1961 by Frank Conway and taken up by his son Michael Conway in 1981. Adam Green also served as CEO briefly in the early 2020s, before Frank’s granddaughter Joanne Conway became chair and CEO in 2022.
FM Conway will continue to operate as a standalone business, but benefit from the wider group support and resources. On completion of the agreement, Joanne Conway has stepped away from the company and longstanding board member, Andrew Hansen, will oversee the next phase of FM Conway’s evolution and growth within VINCI.
Andrew joined the business in 1998 and becomes FM Conway managing director, and an EXCOM member of the UK division of VINCI Construction. Mark Goldsworthy remains as chief financial officer of FM Conway.
Xavier Lansade and Scott Wardrop will also join the FM Conway Board.
The acquisition is an ‘exciting new chapter for FM Conway’
Andrew Hansen, FM Conway managing director, said: “This is an exciting new chapter in FM Conway’s story, opening up fantastic opportunities for how we deliver for our clients and for communities. We’ve always been a company that has pushed boundaries and embraced new opportunities. Over the past 27 years, I’ve had the pleasure of seeing firsthand what this business can accomplish. Now with the additional firepower of VINCI Construction behind us, I’ve no doubt that our people will continue to achieve great things. The future is very bright.”
Scott Wardrop, chief executive of VINCI Construction in the UK, said: “I am very pleased to welcome the FM Conway team to VINCI. I have known the family and senior team for a long time, respected the culture, the innovation and professionalism, which complements the businesses of VINCI Construction. I know we will learn from each other, and firmly believe that successful and sustainable infrastructure services businesses, must have knowledge of their whole supply chain – FM Conway strengthens our capability.”
